Bozena Diaz Installed as Chair of NJSBA’s Taxation Law Section

Bozena M. Diaz, a partner in Cullen and Dykman’s New York City office and the head of the firm’s Tax Department, was installed as Chair of the New Jersey State Bar Association’s Taxation Law Section at the organization’s Annual Meeting and Convention in Atlantic City last week.  Ms. Diaz will serve a one-year term.

The New Jersey State Bar Association, with more than 16,000 members, serves as the voice of New Jersey attorneys. The organization fosters professionalism and personal development, organizes educational programs and materials to lawyers and the public, promotes access to and fairness in the justice system, and facilitates participation in pro bono activities. The Taxation Law Section studies and disseminates information on developments in tax law, and provides a forum for discussion of tax policy issues by professionals and elected officials. The section also provides recommendations and votes on proposed New Jersey state tax legislation.  Ms. Diaz is also a member of the International Tax Committee of the Taxation Law Section, comprised of a group of tax attorneys who meet to provide legal education seminars and discuss various international tax issues. 

Ms. Diaz’s practice focuses on the federal income tax aspects of mergers and acquisitions, buy-outs, spin-offs and other divestitures, business and real estate joint ventures, restructurings and workouts, and taxable and tax-free reorganizations.  In addition, Ms. Diaz regularly advises on various tax aspects of renewable energy projects including structuring power purchase transactions, tax equity flips and lease arrangements. She also has experience handling tax controversy matters, and representing clients before the IRS.

Lastly, Ms. Diaz counsels clients with respect to all aspects of employee benefits under the Internal Revenue Code of 1986 and the Employee Retirement Income Security Act of 1974 (ERISA), including the design, administration, compliance and termination of qualified plans, as well as on issues of ERISA fiduciary responsibilities, and benefits issues that arise in connection with merger and acquisition and joint venture transactions. She also advises on structuring nonqualified deferred compensation arrangements and equity compensation plans, and drafts and negotiates employment and severance packages.

Ms. Diaz is admitted to practice law in New Jersey and New York, in the United States Court of Federal Claims, and in the United States Tax Court.
